These Terms of Service ("Terms") govern your use of the Innovativo mobile and web application and the websites at innovativo-ops.com (collectively, the "Service"). The Service is operated by Innovativo ("we", "us", "our"). By accessing or using the Service you agree to be bound by these Terms.

Acceptance
If you do not agree to these Terms, do not use the Service. By creating an account, signing in or otherwise using the Service, you confirm that you are at least 18 years old (or the age of legal majority in your jurisdiction) and that you have the authority to enter into these Terms on behalf of yourself or your organisation.

Description of the service
Innovativo provides a mobile front end and supporting websites for the GoHighLevel revenue infrastructure we operate on your behalf, including CRM access, conversations, calls, calendar management and reporting. The exact features available to you depend on the plan and configuration agreed with your organisation.

Accounts and security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at Team@support.innovativo-ops.com if you believe your account has been compromised. We may suspend or terminate accounts that show signs of unauthorised use.

Acceptable use
You agree not to: (a) use the Service to send unsolicited or unlawful communications; (b) attempt to reverse engineer, decompile or otherwise probe the Service for vulnerabilities except as permitted by law; (c) misuse the Service to harass, defame or harm any person; (d) interfere with the integrity of the Service or the data of other customers; (e) violate any law, regulation or third-party right. We reserve the right to suspend access to the Service for any user who breaches this section.

Your content
You retain ownership of the data you submit to the Service. You grant us a limited licence to host, transmit, display and process that data solely to provide and improve the Service. You are responsible for the lawfulness of the data you submit and for any consent or notices required from your contacts.

Fees and billing
Where the Service is offered for a fee, the fee schedule, billing cycle and payment method are set in your separate order form or subscription with us or with your GoHighLevel reseller. Fees are non-refundable except where required by law. Unpaid balances may result in suspension of access.

Intellectual property
All software, designs, trademarks, logos and content that make up the Service (excluding your content) are owned by Innovativo or our licensors and are protected by intellectual-property laws. Nothing in these Terms grants you any right or licence to those materials except the limited right to use the Service as intended.

Third-party services
The Service relies on third-party services including GoHighLevel, Twilio, payment processors and analytics providers. Your use of those services through the Service is also subject to their own terms. We are not responsible for the acts or omissions of those third parties.

Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or completely secure.

Limitation of liability
To the maximum extent permitted by law, Innovativo will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service. Our aggregate liability for any claim arising under these Terms is capped at the fees you paid us in the twelve months preceding the claim, or USD 100, whichever is greater.

Termination
You may stop using the Service and request account deletion at any time by emailing Team@support.innovativo-ops.com. We may suspend or terminate your access if you breach these Terms, if a legal authority requires it, or if continuing to provide the Service would be commercially impractical. Provisions that by their nature should survive termination will survive.

Governing law
These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws principles. The exclusive venue for any dispute is the courts of Davao City, Philippines, unless otherwise required by applicable law.

Changes to these Terms
We may revise these Terms from time to time. We will post the revised version on innovativo-ops.com/terms with a new effective date. Material changes will also be notified inside the app. Your continued use of the Service after a change constitutes acceptance of the revised Terms.
